1. Acceptance of Terms

Welcome to AionReviews ("Service", "Platform", "we", "us", or "our"). These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between AionReviews and you (the "Customer", "you", or "your") governing your access to and use of the AionReviews platform, website, and related services.

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Data Processing Agreement, and any additional policies referenced herein. If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. Description of Service

AionReviews is a cloud-based Software-as-a-Service (SaaS) platform designed for multi-location businesses to manage, collect, analyze, and respond to customer reviews across multiple channels and platforms.

Core Service Features:

  • Review collection and aggregation from multiple sources
  • Automated review request distribution via email and SMS
  • Customer portal for review submission
  • AI-powered sentiment analysis and response generation
  • Analytics dashboards and reporting
  • Multi-location management capabilities
  • Integration with third-party review platforms (Google Business, Yelp, etc.)
  • Team collaboration and role-based access control
  • Customer relationship management features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make commercially reasonable efforts to notify you of material changes that adversely affect your use of the Service.

3. Account Registration and Responsibilities

3.1 Account Creation: To access the Service, you must create an account by providing accurate, current, and complete information. You may register using email/password authentication or through supported OAuth providers (e.g., Google).

3.2 Account Security: You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring that your account information remains accurate and up-to-date

3.3 Account Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts to use this Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3.4 Organization Accounts: Our platform supports multi-tenant organizations with role-based access control. As the organization owner or administrator, you are responsible for managing user access, permissions, and ensuring that all users within your organization comply with these Terms.

3.5 Account Termination by Us: We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

4. Subscription and Billing Terms

4.1 Subscription Plans: AionReviews offers multiple subscription tiers:

  • Starter Plan: $49/month - Suitable for single-location businesses
  • Growth Plan: $99/month - For growing businesses with multiple locations
  • Professional Plan: $199/month - For established multi-location businesses
  • Enterprise Plan: Custom pricing - Tailored solutions for large organizations

All prices are in USD and exclude applicable taxes unless otherwise stated. Features, limitations, and pricing for each plan are detailed on our pricing page at aionreviews.com/pricing.

4.2 Billing Cycle: Subscriptions are billed monthly or annually (if selected) in advance. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.3 Payment Methods: You authorize us to charge your designated payment method (credit card, debit card, or other accepted payment methods) for all fees. You must provide current, complete, and accurate billing information.

4.4 Failed Payments: If payment cannot be processed, we will attempt to notify you and may retry the charge. If payment fails repeatedly, we reserve the right to suspend or terminate your access to the Service until payment is received.

4.5 Price Changes: We reserve the right to modify our pricing with at least 30 days' advance notice. Price changes will apply to subsequent billing cycles. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.6 Taxes: You are responsible for all applicable taxes (including sales tax, VAT, GST, etc.) except taxes based on our net income. If we are required to collect or pay taxes, such amounts will be added to your invoice.

4.7 Refunds: All fees are non-refundable except as required by law or as explicitly stated in these Terms. We do not provide refunds or credits for partial months of service, unused features, or periods when you did not actively use the Service.

4.8 Plan Changes: You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately, and you will be charged the prorated difference. Downgrades take effect at the start of the next billing cycle.

5. Free Trial Terms

5.1 Trial Period: New customers are eligible for a 14-day free trial of our Service. No credit card is required to start your trial.

5.2 Trial Limitations: Free trial accounts may have certain feature limitations or usage restrictions as indicated on our pricing page. We reserve the right to modify trial terms, duration, or availability at our discretion.

5.3 Trial Conversion: At the end of your trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will be downgraded or suspended, and you may lose access to your data.

5.4 One Trial Per Customer: Free trials are limited to one per customer or organization. We reserve the right to deny trial access if we detect abuse or multiple trial registrations from the same entity.

5.5 Trial Data Retention: Data created during your trial period will be retained for 30 days after trial expiration. After this period, data may be permanently deleted unless you have subscribed to a paid plan.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service in any way that violates applicable federal, state, local, or international laws or regulations
  • Send unsolicited or unauthorized review requests (spam) or violate anti-spam laws including CAN-SPAM Act, CASL, or GDPR
  • Send review requests to individuals who have not provided valid consent or have opted out of communications
  • Generate, solicit, or post fake, fraudulent, or misleading reviews
  • Violate any third-party platform terms of service (Google, Yelp, Facebook, etc.)
  • Transmit any malicious code, viruses, or harmful software through the Service
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use automated systems (bots, scrapers) to access the Service without our written permission
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Collect or harvest personal information from other users without their consent
  • Use the Service to harass, abuse, threaten, or intimidate any person
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Upload or transmit content that infringes any intellectual property rights or violates privacy rights
  • Use the Service in a manner that could damage our reputation or relationships with third parties

Consequences of Violation: Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and we may report violations to appropriate law enforcement authorities.

7. Intellectual Property Rights

7.1 Our Ownership: The Service, including all software, content, trademarks, service marks, logos, and intellectual property contained therein, is owned by AionReviews or our licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during your subscription period.

7.3 Restrictions: You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Remove or alter any proprietary notices on the Service
  • Use our trademarks, logos, or branding without our prior written consent
  • Create derivative works based on the Service
  • Use the Service to develop competing products or services

7.4 Feedback: If you provide us with suggestions, ideas, enhancement requests, or other feedback about the Service ("Feedback"), you grant us a perpetual, worldwide, fully paid-up, royalty-free, irrevocable license to use, modify, and incorporate such Feedback into our Service without any obligation to you.

8. User Content and Data Ownership

8.1 Your Data: You retain all ownership rights to any data, content, customer information, reviews, or materials you upload, submit, or transmit through the Service ("Customer Data"). We do not claim ownership of your Customer Data.

8.2 License to Process Data: You grant us a limited license to host, store, process, display, and transmit your Customer Data solely as necessary to provide the Service to you and as described in our Privacy Policy and Data Processing Agreement.

8.3 Data Accuracy and Compliance: You represent and warrant that:

  • You have obtained all necessary rights, permissions, and consents to collect and process Customer Data
  • Your Customer Data does not violate any laws, regulations, or third-party rights
  • You have provided appropriate privacy notices and obtained valid consent from individuals whose data you process through the Service
  • You comply with all applicable data protection laws including GDPR, CCPA, HIPAA (where applicable), and other privacy regulations

8.4 Data Backup and Retention: While we perform regular backups, you are responsible for maintaining your own backup copies of Customer Data. Upon termination, we will retain your data for 30 days, after which it may be permanently deleted unless otherwise required by law.

8.5 Data Portability: You may export your Customer Data at any time through the Service's export features. Upon termination, you may request a copy of your data within 30 days.

8.6 Prohibited Data: You must not upload or process through the Service:

  • Protected Health Information (PHI) unless you have executed our HIPAA Business Associate Agreement
  • Payment card information (credit/debit card numbers, CVV codes)
  • Social Security numbers or other government identification numbers
  • Sensitive personal data requiring special protection under applicable laws (unless appropriate safeguards are in place)

9. AI-Generated Content Disclaimer

9.1 AI Features: Our Service utilizes artificial intelligence and machine learning technologies to provide sentiment analysis, response generation, topic extraction, and other automated features.

9.2 No Guarantee of Accuracy: AI-generated content, including but not limited to sentiment scores, emotional analysis, suggested responses, and summaries, is provided "as is" and may contain errors, inaccuracies, or inappropriate content. We do not guarantee the accuracy, completeness, or reliability of AI-generated outputs.

9.3 Human Review Required: You acknowledge and agree that:

  • AI-generated responses should be reviewed by a human before being published or sent to customers
  • You are solely responsible for all content published through your account, including AI-generated content
  • You should not rely solely on AI analysis for business-critical decisions
  • AI outputs may reflect biases present in training data

9.4 Use of AI Services: Our AI features utilize third-party AI services (including OpenAI GPT-4o). Your use of AI features is also subject to the terms and conditions of these third-party providers. We process AI-related data in accordance with our Privacy Policy and Data Processing Agreement.

9.5 No Liability: We are not liable for any damages, losses, or consequences arising from your use of or reliance on AI-generated content, including but not limited to reputational harm, lost business, or regulatory violations.

10. Third-Party Integrations

10.1 Integration Services: Our Service integrates with various third-party platforms including but not limited to Google Business Profile, Yelp, Facebook, Twilio (SMS), Resend (email), and OpenAI (AI services).

10.2 Third-Party Terms: Your use of third-party integrations is governed by the terms and conditions of those third-party providers. You are responsible for complying with all third-party terms of service, API usage policies, and acceptable use policies.

10.3 Third-Party Credentials: When connecting third-party accounts, you authorize us to access and interact with those services on your behalf using OAuth or API credentials you provide. You are responsible for maintaining the security of third-party credentials and revoking access when necessary.

10.4 No Endorsement: We do not endorse, warrant, or guarantee any third-party services. Integration with third-party services does not constitute our endorsement or recommendation.

10.5 Integration Availability: We do not guarantee continuous availability of third-party integrations. Integrations may be modified, suspended, or discontinued at any time due to changes in third-party APIs, terms of service, or business relationships.

10.6 Data Sharing: When you enable third-party integrations, certain Customer Data may be shared with those third parties as necessary to provide the integration functionality. Such data sharing is described in our Privacy Policy.

10.7 No Liability: We are not responsible for any issues, damages, or losses caused by third-party services, including service interruptions, data breaches, or policy changes by third parties.

11. HIPAA Business Associate Terms

11.1 Applicability: These provisions apply only if you are a Covered Entity or Business Associate (as defined by the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations, "HIPAA") and you use our Service to process Protected Health Information ("PHI").

11.2 Business Associate Agreement Required: If you intend to process PHI through our Service, you must execute a separate Business Associate Agreement ("BAA") with us before transmitting any PHI. Use of PHI without an executed BAA is strictly prohibited and constitutes a material breach of these Terms.

11.3 Requesting a BAA: Enterprise customers and healthcare organizations may request a BAA by contacting our compliance team at compliance@aionreviews.com. A BAA may not be available for all subscription tiers.

11.4 Permitted Uses and Disclosures: When acting as your Business Associate, we will:

  • Use and disclose PHI only as permitted by the BAA and as necessary to provide the Service
  • Implement appropriate administrative, physical, and technical safeguards to protect PHI
  • Report any security incidents or breaches in accordance with HIPAA requirements
  • Ensure that any subcontractors who receive PHI agree to the same restrictions and conditions
  • Make PHI available to individuals and the Department of Health and Human Services as required by law
  • Return or destroy PHI upon termination of the BAA as directed by you

11.5 Customer Responsibilities: As a Covered Entity or Business Associate, you are responsible for:

  • Ensuring you have obtained all necessary authorizations to disclose PHI to us
  • Determining whether the Service meets your HIPAA compliance requirements
  • Configuring the Service appropriately to maintain HIPAA compliance
  • Training your workforce on HIPAA requirements
  • Notifying us immediately if you discover any security incidents involving PHI

11.6 Limitations: Our HIPAA-compliant features may not be available in all Service tiers. Certain features (such as AI-powered analysis) may process data in ways that are not HIPAA-compliant. You are responsible for understanding feature limitations and using the Service appropriately.

11.7 De-Identified Data: We may use and disclose de-identified data (data that does not identify and cannot be used to identify an individual) for our business purposes, including improving the Service, analytics, and research, provided such de-identification meets HIPAA standards.

12. GDPR Data Processing Terms

12.1 Applicability: These provisions apply if you are established in the European Economic Area (EEA), United Kingdom, or Switzerland, or if you process personal data of individuals located in these regions, and such processing is subject to the General Data Protection Regulation (EU) 2016/679 ("GDPR") or UK GDPR.

12.2 Roles and Responsibilities: For the purposes of GDPR:

  • You are the "Data Controller" (or "Controller") who determines the purposes and means of processing personal data
  • We are the "Data Processor" (or "Processor") who processes personal data on your behalf

12.3 Data Processing Agreement: Our full Data Processing Agreement ("DPA"), which includes Standard Contractual Clauses for international data transfers, is incorporated into these Terms by reference and is available at aionreviews.com/dpa.

12.4 Processing Instructions: We will process personal data only on your documented instructions as set forth in these Terms, the DPA, and your use of the Service features. We will not process personal data for our own purposes or sell personal data to third parties.

12.5 Security Measures: We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including:

  • Encryption of personal data in transit and at rest
  • Regular security assessments and penetration testing
  • Access controls and authentication mechanisms
  • Logging and monitoring of system activities
  • Employee training on data protection and confidentiality
  • Incident response and breach notification procedures

12.6 Subprocessors: We engage third-party subprocessors to assist in providing the Service (e.g., cloud hosting, email delivery, AI services). We maintain a current list of subprocessors at aionreviews.com/subprocessors and will notify you of any changes with reasonable advance notice.

12.7 Data Subject Rights: We will assist you in responding to data subject requests (access, rectification, erasure, data portability, restriction of processing, objection) by providing appropriate technical and organizational measures to facilitate such requests where possible.

12.8 Data Breach Notification: We will notify you without undue delay after becoming aware of any personal data breach affecting your Customer Data, and will provide reasonable assistance in investigating and remediating the breach.

12.9 Data Protection Impact Assessment: Upon request, we will provide reasonable information to assist you in conducting Data Protection Impact Assessments (DPIAs) or prior consultations with supervisory authorities.

12.10 Audits and Compliance: We will make available to you information necessary to demonstrate compliance with GDPR obligations and allow for and contribute to audits and inspections conducted by you or an authorized auditor, subject to reasonable notice and confidentiality obligations.

12.11 International Data Transfers: We may transfer and process personal data in countries outside the EEA, including the United States. Such transfers are protected by Standard Contractual Clauses and other appropriate safeguards as described in our DPA.

12.12 Data Retention and Deletion: We will delete or return all personal data to you after the end of the provision of services, unless European Union or Member State law requires storage of the personal data.

13. Limitation of Liability

13.1 DISCLAIMER OF WARRANTIES: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED
  • THE SERVICE WILL BE COMPATIBLE WITH ALL SYSTEMS OR PLATFORMS

13.2 LIMITATION OF DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIONREVIEWS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
  • LOSS OF DATA OR INFORMATION
  • BUSINESS INTERRUPTION OR DOWNTIME
  • LOSS OF GOODWILL OR REPUTATION
  • COST OF SUBSTITUTE SERVICES

WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.3 CAP ON LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100 USD).

13.4 Exceptions: The limitations in this section do not apply to:

  • Liability for death or personal injury caused by our negligence
  • Liability for fraud or fraudulent misrepresentation
  • Your breach of intellectual property rights
  • Your violation of the Acceptable Use Policy
  • Any liability that cannot be excluded or limited under applicable law

13.5 Basis of the Bargain: You acknowledge that we have set our prices and entered into these Terms in reliance upon the limitations of liability and disclaimers of warranties set forth herein, and that the same form an essential basis of the bargain between you and us.

13.6 Jurisdictional Variations: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations and exclusions will apply to the maximum extent permitted by law.

14. Indemnification

14.1 Your Indemnification Obligations: You agree to indemnify, defend, and hold harmless AionReviews, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Your Customer Data, including any claims that your Customer Data infringes or violates third-party rights
  • Your breach of any representations or warranties made in these Terms
  • The acts or omissions of your employees, agents, or other users accessing the Service through your account
  • Any content you publish or distribute through the Service, including AI-generated content

14.2 Indemnification Procedure: We will:

  • Promptly notify you in writing of any claim subject to indemnification
  • Provide reasonable cooperation in the defense of such claim at your expense
  • Allow you to control the defense and settlement of the claim

You may not settle any claim in a manner that admits fault on our behalf or imposes obligations on us without our prior written consent.

14.3 Our Indemnification: We will indemnify, defend, and hold you harmless from third-party claims that the Service, when used in accordance with these Terms, infringes a third party's valid patent, copyright, or trademark. This indemnification does not apply if the claim arises from:

  • Your modification of the Service
  • Your combination of the Service with other products or services
  • Your continued use of the Service after being notified of infringing activity
  • Customer Data or third-party content

Our sole obligation under this Section 14.3 is to, at our option: (a) obtain the right for you to continue using the Service, (b) modify the Service to make it non-infringing, or (c) terminate your subscription and refund prepaid fees for the unused portion of your subscription term.

15. Termination

15.1 Termination by You: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period. You will not receive a refund for the remainder of your current billing period unless otherwise required by law.

15.2 Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach any provision of these Terms
  • Your account has been inactive for an extended period
  • Your payment method fails and you do not update payment information
  • We are required to do so by law or court order
  • We determine, in our sole discretion, that providing the Service to you creates a security risk or legal liability
  • You engage in fraudulent, abusive, or illegal activity

We will make reasonable efforts to notify you before terminating your account, except in cases of severe violations or legal requirements.

15.3 Effect of Termination: Upon termination:

  • Your right to access and use the Service immediately ceases
  • You will no longer be able to access your Customer Data through the Service
  • We will cease processing your Customer Data except as necessary to comply with legal obligations
  • All provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

15.4 Data Retention After Termination: Following termination, we will retain your Customer Data for 30 days during which time you may request a copy of your data. After 30 days, we may permanently delete all Customer Data unless retention is required by law or our DPA/BAA. We are not obligated to store or return data after the retention period expires.

15.5 No Refunds: Except as required by law, we do not provide refunds or credits for partial months of service, prepaid fees, or any fees paid prior to termination.

16. Dispute Resolution

16.1 Informal Resolution: Before filing a claim, you agree to contact us at legal@aionreviews.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good faith negotiations for at least 30 days before either party may initiate formal proceedings.

16.2 Arbitration Agreement: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration, rather than in court, except that:

  • You or we may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights
  • Small claims court actions are permitted if they qualify for small claims court jurisdiction

16.3 Arbitration Rules: Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Mediation Procedures. The arbitration will be held in [Your Jurisdiction] or another mutually agreed location, or via videoconference at your option. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

16.4 Class Action Waiver: YOU AND AIONREVIEWS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

16.5 Exceptions to Arbitration: Notwithstanding the above, either party may seek equitable relief (including injunctive relief) in court for:

  • Intellectual property disputes
  • Violation of the Acceptable Use Policy
  • Unauthorized access to the Service

16.6 Severability: If any portion of this arbitration agreement is found to be unenforceable, the remainder will continue to apply except that the class action waiver cannot be severed and, if found unenforceable, requires arbitration on an individual basis to proceed in court.

16.7 Opt-Out: You may opt out of this arbitration agreement by sending written notice to us within 30 days of first accepting these Terms. The notice must include your name, address, and email address, and must clearly state your intent to opt out of the arbitration agreement.

17. Governing Law
